to consider entering into a possible business
relationship with London Docklands Online and to proceed with discussion
and possible negotiations related thereto, and/or valuable consideration,
the receipt of which is hereby acknowledged, hereby the above named
and their associates:
01 Acknowledge(s) that London Docklands
Online is the owner (s) of valuable trade secrets, know-how and other
Confidential Information, including without limitation, the names and
trading and registered names London Docklands Online and e-local shopping
and that the undersigned may have access to such information during
the course of discussions and any possible negotiations with /London
Docklands Online and its associates.
02 Agrees with London Docklands
Online and its successors, affiliates and assigns, that, with respect
to any information received from them and unless agreed by them in writing,
the undersigned:
a) Shall neither use nor disclose, and shall
otherwise treat as confidential, any and all information which they
received from London Docklands Online, except that such information
may be utilised by the Undersigned to evaluate a possible business
arrangement with London Docklands Online and ;
b) Will not reproduce, copy or otherwise record any information
contained in any documents;
c) Drawings or other tangible property relating to any information
London Docklands Online, except such
d) As may be essential to evaluate a possible relationship
with London Docklands Online. And such as it is approved in advance
by London Docklands Online and;
e) Will return to London Docklands Online, promptly upon its
request, all documents, drawings, or other Tangible Materials furnished
to the undersigned by London Docklands Online, in the course of discussions
and/or negotiations or otherwise
03 Except with the permission and
consent of /London Docklands Online, the undersigned shall in no event
engage in any business which is the same substantially similar, to the
business concepts or development and other business opportunities disclosed
by with London Docklands Online.
